TERMS AND CONDITIONS - STEP 1

Please read the Terms and Conditions, type your full name and the date, check the box that reads "I agree to the above terms", and submit.

1) Reservation of Rights: All rights not expressly granted are retained by the Designer, including any electronic rights or usage, and including, but not limited to, all rights in sketches, comps or other preliminary materials. Any use additional to that expressly granted above requires for payment of a separate fee. 2) Estimates: The fees and expenses shown are minimum estimates only. Final fees and expenses shall be shown when invoice is rendered. The Client’s approval shall be obtained for any increases in fees or expenses that exceed the original estimate by 10% or more. 3) Changes: The Client shall be responsible for making additional payments for changes requested by the Client in original assignment. However, no additional payment shall be made for changes required to conform to the original assignment description. The Client shall offer the Designer the first opportunity to make any changes. 4) Cancellation and Kill Fees: Cancellation ("kill") fees are due based on the amount of work completed. Fifty percent (50%) of the final fee is due within 30 days of notification that for any reason the job is canceled or postponed before the final stage. One hundred percent (100%) of the total fee is due despite cancellation or postponement of the job if the design has been completed. Upon cancellation or kill all rights to the artwork revert to the Designer and all original artwork must be returned, including sketches, comps, or other preliminary materials. 5) Credits and Copies: A credit line suitable to the design of the page will be used. Client agrees to pay an additional fifty percent (50%) of the total fee, excluding expenses, for failure to include credit line. Credit line is required independent of Graphic Artist's signature, which shall be included at Graphic Artist's discretion unless otherwise agreed in writing above. Client agrees to provide Designer with ten (10) sample copies of any printed material. 6) Payment: Payment for finished work is due upon acceptance, net thirty (30) days. The Client's right to use the work is conditioned upon receipt of payment within thirty days of acceptance, and upon Client's compliance with the terms of this agreement. A two percent (2%) monthly service charge will be billed against late payment. 7) Expenses: If Client does not provide a courier/shipping number in the space provided above, shipping charges will be added to the final invoice. Client agrees to reimburse Designer for expenses arising from this assignment, including the payment of any sales taxes due on this assignment. including, but not limited to the following: ___ Messengers; ___ Models; ___ Props; ___ Travel; ___ Telephone; ___ Proofs; ___ Transport Disks; ___ Transparencies; ___ Film Output; ___ Other; ___ 8) Permissions and Releases: The Client agrees to indemnify and hold the Designerharmless against any and all claims, costs, and expenses, including attorney's fees, due to materials included in the Work at the request of the Client for which no copyright permission or privacy release was requested, or for which uses exceed the uses allowed pursuant to a permission or release. 9) Miscellany: This Agreement shall be binding upon the parties, their heirs, successors, assigns, and personal representatives. This Agreement constitutes the entire understanding of the parties. Its terms can be modified only by an instrument in writing signed by both parties, except that the Client may authorize expenses or revisions orally. No terms attached to any check for payment under this Agreement can modify the Agreement except under an independent instrument in writing signed by both parties. Any dispute regarding this agreement shall be arbitrated in Tri-Cities, Washington under the rules of the American Arbitration Association and the laws of Washington. A waiver of a breach of any of the provisions of this Agreement shall not be construed as a continuing waiver of other breaches of the same or other provisions. This Agreement shall be governed by the laws of the State of Washington and courts of such state shall have exclusive jurisdiction and venue. 10) Warranty of Originality: The Designer warrants and represents that, to the best of his/her knowledge, the work assigned hereunder is original and has not been previously published, or that consent to use has been obtained on an unlimited basis; that all work or portions thereof obtained through the undersigned from third parties is original or, if previously published, that consent to use has been obtained on an unlimited basis; that the Designer has full authority to make this agreement; and that the work prepared by the Designer does not contain any scandalous, libelous, or unlawful matter. This warranty does not extend to any uses that the Client or others may make of the Designer’s product that may infringe on the rights of others. Client expressly agrees that it will hold the Designer harmless for all liability caused by the Client’s use of the Designer’s product to the extent such use infringes on the rights of others. 11) Limitation of Liability: Client agrees that it shall not hold the Designer or his/her agents or employees liable for any incidental or consequential damages that arise from the Designer’s failure to perform any aspect of the Project in a timely manner, regardless of whether such failure was caused intentional or negligent acts or omissions of the Designer or a third party. 12) Acceptance of Terms: The signature of both parties shall evidence acceptance of these terms.
